Wholesale Terms and Conditions

  1. General Terms

All orders are subject to approval and acceptance by Claymens, LLC, the parent company of Mora. By placing an order with Mora, the Customer agrees that the transaction is governed by these Terms. These Terms apply to all orders and may only be modified with prior written authorization from Mora.

  1. Non-Compete Clause

To safeguard Mora’s curated brand identity and exclusive market position, the Customer agrees not to sell, license, or distribute Mora products to any third-party entities intending to market, promote, or sell such products through online channels. These channels include, but are not limited to, third-party marketplaces (e.g., Amazon.com, Walmart.com), social media platforms (e.g., TikTok, Instagram), or individual websites, without Mora’s explicit prior written approval.

This restriction applies universally to all current and future online sales platforms. The Customer is required to ensure that its own customers comply with these restrictions by incorporating binding non-compete clauses in their agreements. The Customer bears full responsibility for monitoring compliance and addressing any violations. Any breach of this clause constitutes a material violation, granting Mora the right to seek remedies, including but not limited to injunctive relief, monetary damages, and termination of these Terms.

  1. Terms of Payment

Mora reserves the right to adjust product prices at any time. Prices applicable to an order will be those in effect at the time the order is placed. Payment in full, including applicable taxes and shipping fees, is required prior to order processing.

  1. Sales Tax

Sales tax will be calculated and charged based on the shipping destination provided in the Customer’s purchase order.

  1. Shipping and Delivery Terms

Mora’s logistics provider manages all shipping, and the Customer may not select an alternative carrier. The Customer is responsible for providing an accurate shipping address. Once the product leaves Mora’s facility, the delivery address cannot be changed. The Customer assumes full responsibility for any delivery errors or additional costs arising from incorrect address information. Risk and liability transfer to the Customer once the products are delivered to the designated location.

  1. Product Availability and Lead Time

The availability of Mora products depends on current inventory levels. If sufficient inventory is available, lead times will align with Mora’s standard delivery policies. For products requiring production, Mora will communicate stock availability and delivery estimates prior to order confirmation.

Once the delivery timeline is confirmed and accepted by the Customer, full payment is required to finalize the order. While Mora endeavors to meet agreed timelines, occasional delays caused by logistics or production challenges may result in an extension of the delivery period by 2–4 weeks. Mora will communicate any such delays promptly to maintain transparency and trust.

  1. Pricing Control

Mora’s Manufacturer’s Suggested Retail Price (MSRP) represents the official retail price listed on Mora’s website. The Customer agrees not to advertise or sell Mora products below MSRP without Mora’s prior written approval. Any unauthorized price reductions undermine Mora’s brand integrity and constitute a breach of these Terms, potentially resulting in legal action.

  1. Product Quality and Safety

At Mora, each product reflects our dedication to quality, artistry, and safety. Our clay, glazes, and firing processes are meticulously crafted to create timeless, unique pieces. As a result of the handmade nature of our products, slight variations in texture, color, pattern, iron spots, and size may occur. These natural differences are part of Mora’s charm and are not considered defects.

Every Mora product is dishwasher- and microwave-safe, offering practicality with elegance. Our glazes are completely free of lead and heavy metals, ensuring no leaching into food or beverages. Each glaze undergoes rigorous third-party laboratory testing, including acid tests for food safety. Mora’s products meet or exceed FDA standards and California Prop 65 regulations, giving customers peace of mind.

  1. Order Changes and Cancellations

Once an order is confirmed and paid, it is final and binding. Any requests for changes or cancellations must receive Mora’s prior written consent and may incur a 15% restocking or processing fee. Orders cannot be canceled or refunded once shipped. Mora ensures every order is prepared to meet expectations before dispatch.

  1. Marketing and Promotion

The Customer is responsible for all marketing and promotional activities related to Mora products. Marketing materials must align with Mora’s branding guidelines, and Mora reserves the right to review and approve such materials. If marketing content deviates from Mora’s standards, Mora may require modifications or removal. These measures protect Mora’s reputation as a trusted and premium brand.

  1. Return Policy and After-Sales Service

Mora does not accept returns. The Customer has 30 days from the delivery date to inspect products for any quality issues or defects. Within this period, the Customer may request partial compensation or replacement. Mora reserves the right to determine the method of any compensation at its sole discretion. After 30 days, Mora assumes no responsibility for product quality claims. Products delivered in good condition are not eligible for return or exchange. This policy ensures that every product shipped meets Mora’s high standards.

The Customer is solely responsible for providing after-sales service to its own customers. Mora will not handle service requests from the Customer’s end customers. If the Customer’s after-sales service damages Mora’s brand reputation, Mora reserves the right to revoke the Customer’s authorization to sell its products.

  1. Insurance Requirements

Mora assumes the risk of loss or damage during shipment until products are delivered to the Customer’s designated address. After delivery, all risks transfer to the Customer. The Customer is responsible for evaluating whether to obtain product liability insurance. Mora is not liable for claims arising after delivery.

  1. Force Majeure Clause

Neither party shall be held liable for delays or failure to perform obligations due to unforeseen circumstances beyond their control, such as natural disasters, wars, government actions, or pandemics. During such events, obligations are suspended but must resume promptly once conditions normalize. This clause does not permit permanent avoidance of contractual obligations.

  1. Web Commerce Terms

To preserve Mora’s brand exclusivity, the Customer must provide all relevant information about their website or online marketplace prior to listing Mora products. Mora must be identified as the manufacturer on all platforms where its products are sold.

Mora reserves the right to review and approve the Customer’s website or online presence to ensure alignment with Mora’s branding. Unauthorized resale of Mora products through third-party retailers is strictly prohibited. Additionally, Mora products must not be advertised or sold below MSRP. These provisions protect Mora’s brand integrity and premium positioning.

  1. Compliance Clause

The Customer must comply with all applicable laws, including import/export regulations, tax obligations, and ethical business practices consistent with Mora’s core values. Mora reserves the right to terminate the partnership if unethical practices are detected.

  1. Dispute Resolution

Disputes arising from these Terms will first be addressed through good-faith negotiation. If unresolved, disputes will proceed to binding arbitration under the American Arbitration Association (AAA) rules, conducted in Minnesota, U.S.A. The arbitrator’s decision will be final and enforceable in court.
